Creator & Ambassador Program Terms

By submitting your application to the Creator & Ambassador Program of New Black Cosmetics SAS (a French SAS with share capital of €10,000, Paris Trade Register 914 912 282, registered office: 34 Avenue des Champs-Élysées, 75008 Paris) and by ticking the acceptance box on the form, you (the “Creator”) accept these terms without reservation. They constitute the agreement between the parties: no handwritten signature is required, your electronic acceptance constituting consent.
Article 1 — Purpose
These terms define the terms of the partnership between New Black Cosmetics (the “Brand”) and the Creator, covering the creation and distribution of content promoting the Brand’s products, as well as the assignment of the exploitation rights to that content and the authorisation to use the Creator’s image.
Article 2 — Membership
Membership is via the dedicated application form. The Brand remains free to accept or reject any application without having to give reasons. The first piece of content produced is a “test”: the Brand may end the partnership after this first content, without compensation, if it does not meet its expectations.
Article 3 — Creator’s commitments
The Creator undertakes to:
- create and publish the agreed content (number, format, deadlines) according to the creative brief provided by the Brand;
- submit each piece of content to the Brand for approval before publication;
- clearly indicate the commercial nature of the collaboration (“commercial collaboration”, “advertising” or “partnership”), in accordance with applicable advertising-disclosure rules;
- tag the Brand’s official accounts and use the hashtags provided;
- respect the Brand’s image and values (respect, inclusivity, elegance) and not disparage it.
Article 4 — Consideration
In return, the Brand may grant the Creator: a gift of products, a personalised promotional code for their community, and/or an affiliate commission on sales generated via their code.
Important: a commission paid in cash is only possible if the Creator has a status allowing them to issue an invoice (self-employed, company, etc.). Failing such status, the consideration is paid exclusively in the form of gifted products or store credit (voucher), with no cash payment. The consideration never constitutes a salary.
Article 5 — Assignment of copyright in the content
The Creator, as author of the content (photos, videos, texts) produced under the partnership, assigns to the Brand, on a non-exclusive basis, the economic exploitation rights to that content, under the following conditions:
- Scope: rights of reproduction, representation, adaptation, modification (editing, cropping, subtitling, format) and distribution;
- Media: all digital and physical media — the Brand’s social networks, website, online advertising campaigns (including paid), newsletters, communication materials, point-of-sale displays and print;
- Sub-licence to partners: the Brand is expressly authorised to sub-licence the content and make it available to its resellers, distributors and commercial partners, so that they may promote New Black products;
- Territory: worldwide;
- Duration: 3 years from the date each piece of content is made available, renewable.
This assignment is granted in return for the consideration in Article 4, which the Creator acknowledges as sufficient remuneration. The Creator warrants that they are the author of the content, hold all necessary rights (music, locations, third parties appearing) and that the content does not infringe any third-party rights.
Article 6 — Image rights
The Creator expressly authorises the Brand to capture, reproduce and distribute their image (face, voice, silhouette) as it appears in the content, under the same conditions of scope, media, sub-licence to resellers, territory and duration as in Article 5. This authorisation is granted free of charge, included in the consideration in Article 4.
Article 7 — Approval and moderation
The Brand has a right of review and approval over the content before publication, and may request reasonable modifications to ensure consistency with its image.
Article 8 — Independence of the parties
This partnership does not create any relationship of subordination or employment contract. The Creator acts entirely independently, freely organises their activity and retains editorial freedom within the scope of the brief.
Article 9 — Personal data
The Creator’s data is processed to manage the partnership, in accordance with the GDPR. Contact: [email protected].
Article 10 — Duration and termination
The partnership may be terminated by either party with 15 days’ notice by email. In the event of a serious breach (repeated non-delivery, disparagement, damage to image), termination is immediate. Termination does not affect rights already assigned in respect of delivered content.
Article 11 — Governing law
These terms are governed by French law. In the event of a dispute, the parties will seek an amicable solution; failing that, the courts of Paris shall have jurisdiction.
Article 12 — Acceptance
By ticking the box “I accept the Creator Program Terms” on the application form, the Creator acknowledges having read and accepted all of these terms. The date, IP address and version of the terms are recorded as proof of consent.
